Costco Shareholders Vote in Favor of Maintaining Its DEI Policies

Costco Shareholders Vote in Favor of Maintaining Its DEI Policies

A Costco shareholders’ vote on the matter of DEI has taken a surprising turn, contrary to the general anti-DEI shift we’ve seen among businesses over the last few months. Costco was presented with an anti-DEI proposal from the think tank the National Center for Public Policy Research. The organization had formulated a proposal to dissuade the investment in DEI principles and initiatives currently maintained by the organization.

After consideration of the proposal, the Costco board took a vote on the DEI programs and the potential “litigation, reputational, and financial risks to the company, and therefore financial risks to shareholders.” According to the Associated Press, over 98% of the shareholders at Costco rejected the anti-DEI approach.

Over the last few months, major businesses like John Deere, Walmart, and Harley-Davidson have made the conscious decision to cancel existing DEI policies and shift away from their original commitment to upholding its principles. Other organizations like The Society for Human Resource Management and McDonald’s also announced major changes to their stance on DEI, but committed to upholding some parts of their programs on inclusivity.

Amidst these changes, Costco’s shareholder vote on DEI was expected to take a similar route of elimination, however, CEO Ron Vachris has remained vocal about the organization’s dedication to its existing practices. Earlier this month, the CEO reiterated that the organization didn’t maintain any hiring quotas but instead focused on ensuring equal opportunity and fair pay for all of its employees.

“If these policies you see as offensive, I must tell you I am not prepared to change,” Vachris was believed to have explained in an email.

The Costco board’s DEI vote was held on January 23, 2025, and the anti-DEI proposal was put to vote. If shareholders had accepted the anti-diversity proposal, the organization would have had to pivot on its practices and eliminate all signs of it from the organization. Now, with Costco’s rejection of the anti-diversity proposal, the company should be free to continue with its programs undeterred.

Costco Shareholders Reject Anti-DEI Proposal but the Consequences of the Decision Remain to Be Seen

Following the results of the Costco board’s vote in favor of DEI, it said “our commitment to an enterprise rooted in respect and inclusion is appropriate and necessary. The report requested by this proposal would not provide meaningful additional information.” 

The Costco board’s diversity decision may have solidified its position on the matter, however, the group will still have to look at how customers and the government respond. With the shift in presidency and the termination of all DEI programs at the federal level on the belief that they are wasteful, there could soon be pressure on the organization to backtrack on its stance.

The think tank that initiated the vote with its proposal has also targeted organizations like Apple, encouraging the business to rethink its stance and repeal its existing programs. As of now, Apple’s board has urged its shareholders to reject the anti-DEI stance.

“At Apple, we believe that how we conduct ourselves is as critical to Apple’s success as making the best products in the world. We seek to conduct business ethically, honestly, and in compliance with applicable laws and regulations, and our Business Conduct and Compliance policies are foundational to how we do business,” the company said in its proxy statement. 

As Costco, Apple, and a few other businesses continue to defend their diversity policies, they will also have to keep an eye on how this stance affects the organization in the upcoming months.
